Ingram Holdco launched a 13,125,000-share secondary offering under a 30-day option for 1,968,750 more shares. Goldman Sachs acted as the sole underwriter. Ingram Micro simultaneously repurchased 625,000 shares from the underwriter and left $53.01 million available under its $175 million buyback. Net proceeds go to Ingram Holdco, while the company pays offering costs excluding underwriting discounts and commissions. The agreement took effect Sep 8, 2026 to facilitate the offering and increase public float.
